»The Concretization of the Prohibition of >Misuse of an SE< for the Protection of Employee Involvement Rights«Oliver H. Ramcke examines the scope of flexibility of the Societas Europaea (SE) with regard to employee involvement and its limitation by the principle of »misuse of an SE«. The legal form of an SE offers autonomy with regard to employee involvement compared particularly to the German Employee Involvement Acts. However, the concept of freedom of contract conflicts with the duty to protect employee participation rights existing in the companies participating in the establishment of an SE.
